Welcome to DeltaFlow. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and AI solutions. By engaging with DeltaFlow, you agree to comply with these Terms.
1. Services
DeltaFlow provides custom AI development, consulting, and automation services. The specific scope of work, deliverables, and timelines for client projects will be defined in separate Statements of Work (SOW) or Master Services Agreements (MSA). In the event of a conflict between these Terms and a specific SOW/MSA, the specific agreement shall prevail.
2. Intellectual Property
2.1 Client Ownership. Unless otherwise agreed in writing, clients retain full ownership of all intellectual property rights in the custom code, models, and deliverables created specifically for them upon full payment of fees.
2.2 DeltaFlow Tools. DeltaFlow retains ownership of its pre-existing tools, libraries, frameworks, and methodologies ("DeltaFlow IP") used to deliver services. Clients are granted a non-exclusive, perpetual, royalty-free license to use incorporated DeltaFlow IP solely for their internal business operations.
3. Confidentiality
We take confidentiality seriously. Both parties agree to protect proprietary information exchanged during the engagement. We often execute separate Non-Disclosure Agreements (NDAs) which supersede this general provision.
4. Limitation of Liability
To the maximum extent permitted by law, DeltaFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of these services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
5. Payment Terms
Invoices are due within the timeframe specified in your contract (typically Net 15 or Net 30). Late payments may incur interest. We reserve the right to suspend services for overdue accounts.
6. Changes to Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated through our website or direct notice to active clients.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Bangladesh, without regard to its conflict of law principles.
